Welcome to FloridaQuantum.org (the "Site"), operated by Florida Quantum ("Florida Quantum," "we," "us," or "our"). These Terms of Service (the "Terms") govern your access to and use of the Site, our content, events, newsletters, interactive tools, and any services that link to or reference these Terms (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Who May Use the Services

You may use the Services only if you can form a binding contract with Florida Quantum and are not barred from doing so under applicable law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts & Registration

Certain features may require an account. You agree to provide accurate information and to keep it current. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. Notify us promptly of any unauthorized use.

3. Acceptable Use

You agree not to, and not to allow others to:

• violate any law, contract, intellectual‑property or other right;
• upload, post, or transmit content that is unlawful, harmful, deceptive, defamatory, obscene, or otherwise objectionable;
• attempt to probe, scan, or test the vulnerability of the Services or circumvent security or access controls;
• interfere with or disrupt the Services or servers (e.g., via malware, scraping at unreasonable rates, or DDoS);
• use the Services to train or improve AI models without our prior written consent, except where expressly permitted by an open‑source or content license stated on a given page;
• misrepresent your affiliation with any person or entity.

We may suspend or terminate access for violations.

4. Content & Intellectual Property

Our Content

Unless otherwise noted, the Services (including text, graphics, logos, videos, code samples, and designs) are owned by Florida Quantum or our licensors and are protected by intellectual‑property laws. You may access and use our Content for personal, educational, or non‑commercial purposes. Any other use (including reproduction, distribution, modification, or derivative works) requires our prior written permission or the permission of the applicable rights holder. If a page specifies a different license (e.g., an open‑source or Creative Commons license), that license governs the materials on that page.

Your Content

If you submit, post, or otherwise provide content (e.g., comments, forum posts, feedback, or materials) ("User Content"), you retain ownership of your rights. You grant Florida Quantum a non‑exclusive, worldwide, royalty‑free, sublicensable license to host, store, reproduce, modify (for formatting), publish, publicly display, and distribute your User Content as reasonably necessary to operate, improve, and promote the Services. You represent that you have all rights necessary to grant this license and that your User Content does not infringe anyone's rights or violate law.

Feedback

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use and incorporate it without restriction or compensation.

Trademarks

"Florida Quantum" and associated logos are trademarks of Florida Quantum. Other names and logos may be trademarks of their respective owners.

5. Third‑Party Services & Links

The Services may link to or integrate third‑party websites, software, tools, or services (e.g., learning platforms, code run‑times, or event vendors). We do not control and are not responsible for third‑party services. Your use of them may be subject to their terms and privacy policies.

6. Educational Content; No Professional Advice

The Services are for informational and educational purposes only. We do not provide legal, financial, medical, or other professional advice. You should not rely on information available via the Services as a substitute for professional advice.

7. Events, Programs & Registrations

If you register for an event or program, you agree to any additional terms presented at registration (e.g., code of conduct, photography/recording notice, or cancellation policy). We may change event details or cancel an event; if fees are involved, any refunds will follow the applicable event policy disclosed at the time of registration.

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you consent to those practices.

9. DMCA / Copyright Complaints

If you believe content on the Services infringes your copyright, please send a notice containing: (a) your contact information; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location; (d) a statement of good‑faith belief; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and (f) your physical or electronic signature. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLORIDA QUANTUM AND OUR LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLORIDA QUANTUM AND OUR DIRECTORS, OFFICERS, VOLUNTEERS, ADVISORS, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM—WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless Florida Quantum and our directors, officers, volunteers, advisors, partners, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third‑party right.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, for any reason, including if we believe you violated these Terms. Upon termination, Sections 4, 6, 9, 11–15, and 17 will survive.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida for any dispute arising from or relating to the Services or these Terms, except where prohibited by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last updated" date above. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

17. International Use

The Services are operated from the United States. We make no representation that the Services are appropriate or available for use in other jurisdictions. You are responsible for compliance with local laws, including export‑control laws and regulations.
